The BodyMedia Spokesbody Contest (the “Contest”) is sponsored by BodyMedia, Inc., with its principal place of business at One Gateway Center, 420 Fort Duquesne Boulevard-Suite 1900, Pittsburgh, PA 15222 (the “Sponsor”).  The Contest is void where prohibited by federal, state or local laws.  This Contest is void in Rhode Island. This Contest shall be construed and evaluated according to United States law. By entering, each entrant (“Entrant”) accepts and agrees to be bound by these Official Rules.

The BodyMedia Spokesbody Contest invites individuals to be selected as the BodyMedia Spokesbody.  Entrants or contestants who wish to become the BodyMedia Spokesbody and enter the Contest must design, create and upload a short, original video which shows why the Entrant should be selected as BodyMedia Spokesbody.

The Contest will be hosted by Ning.

How to Enter
No purchase is necessary to enter or win this Contest. The Contest begins on May 1, 2011 at 12:00:00 AM EST and ends on August 1, 2011 at 11:59:59 PM EST (the “Entry Period”).  Entrants may enter this Contest by visiting www.Spokesbody.com (the “Site”). Entrants will be required to sign up and register at the Site by creating a username, password and entering a valid, verifiable e-mail address. Entrants will also be required to create a profile on the Site with their name, gender, date of birth, address and phone.  Then, the Entrant can log in to invite friends, add a photo (if desired) and upload their video so that it may be seen by others and voted upon.  Video entries should show why the Entrant is qualified to be the BodyMedia Spokesbody and why the Entrant should be selected.  Entry is limited to one video per person and may only be submitted in the name of one individual.

Entrants can upload their videos in multiple ways---from a computer, by telephone or by email by sending the video to spokesbody@bodymedia.com.  A video can also be transferred to the Site from YouTube[1], Hulu[2] or Vimeo[3]

After Entrant’s video has been successfully uploaded, Entrant will receive a message on the Site stating that the video has been uploaded and is being reviewed.  Entrant’s video will be reviewed by Sponsor to ensure that it complies with these Official Rules.  Please note that at this point your submission is undergoing review and is not yet considered a valid entry into the Contest.

Once Entrant’s video has been successfully uploaded and approved by Sponsor, in its sole discretion, Entrant’s video will be posted on the Site, so that the public and Entrant’s friends can indicate they “Like” a posted video.  Entrants can also share their videos with others.  Entrants are encouraged to promote their video to increase views and “Like” votes.

It is the sole responsibility of Entrant to notify Sponsor in writing if the Entrant changes his/her address, email address and/or telephone number.  To do so, write to: BodyMedia Marketing—Attn: Spokesbody Contest, One Gateway Center, 420 Fort Duquesne Boulevard, Suite 1900, Pittsburgh, PA 15222.

 

Eligibility

This Contest is open only to legal residents of the United States, including Hawaii and Alaska, but excluding U.S. territories, who are at least 18 years of age and have attained the age of majority in their state of residence. Minors are ineligible to participate in the Contest.  The Winner will be required to sign an affidavit of eligibility and liability release form (except where prohibited) affirming their agreement to all terms, conditions, and restrictions in these Official Rules. Do not proceed with this Contest if you are not a legal resident of the United States.  Employees of Sponsor (including family members of such employees)  or its parent companies, affiliates or any other company involved with the design, production, execution or distribution of the Contest are not eligible.

Prizes
One (1) Grand Winner Prize will be awarded in the amount of $5000.00.  


Odds of winning will depend on the number of entries received. The Grand Winner Prize will be awarded by a panel of qualified judges selected by BodyMedia, based on the Judging Criteria specified below. The Grand Prize will be awarded on or about August 15, 2011.  There will be no substitutions for prizes. Prizes awarded are non-transferable and may not be exchanged, sold or traded.  Sponsor reserves the right to substitute a prize, in which case a prize of equal or greater value will be awarded. Failure to collect a prize within thirty (30) days of notification of award constitutes forfeiture of the prize. If forfeited, the prize will remain the property of Sponsor. Another winner will not be selected.

 

Judging Criteria
Videos will be judged based on whether they meet the video creation and entry requirements, how well they follow the directives provided by BodyMedia, the quality of the video, whether the video provides good support for why the Entrant should be selected and whether the video is clever, convincing, engaging and/or innovative. A panel of ten (10) judges will evaluate submissions based on the judging criteria and will determine the winner, subject to verification of eligibility, continued participation, compliance with these Official Rules and a background check.  The winner will be notified by phone, email or mail, at Sponsor’s discretion.  Decisions of the judges are final and binding. 


Videos should be no longer than ninety (90) seconds long. Videos can be shot with camera phones, digital video cameras, or any other digital moving image format.  No still photo entries will be accepted.  All entries must be received by 11:59:59 PM EST on August 1, 2011. There is no cost or purchase required to enter the Site or submit a video.

Video Creation Requirements

  • All videos must begin with “Hi. My Name is _______ and I am a loser.”
  • Acceptable source video includes sources that are not copyrighted. Entrant takes full responsibility that all images and soundtracks are not copyrighted material. This means, do NOT use commercial copyrighted music or images.
  • Videos should only show the Entrant.  No one else should be shown in the video unless they have given written permission, which Entrant can provide to Sponsor.
  • Videos may not contain obscene language or content, including but not limited to: nudity, profanity or graphic violence.
  • Videos may not contain or refer to any company/brand, logos, services, devices or equipment other than BodyMedia.
  • Video must be no longer than ninety (90) seconds long.
  • All videos must be in English or contain English subtitles.
  • Video can be in any format. Files larger than 32 MB will not be accepted.
  • Videos must be submitted via the web as instructed after registration. If you have problems uploading, please contact us at spokesbodies@bodymedia.com. If you are having problems uploading, you must contact us before the Contest deadline.  Difficulties with online access to enter the Contest are not the responsibility of the Sponsor.
  • Once your video is uploaded and approved, your submission is final and may not be modified or edited.
  • In the event of dispute regarding the identity of an Entrant, the dispute will be resolved in the sole discretion of the Sponsor in favor of the individual who is the "authorized email account holder" of the email address provided.

 

Voting

The public, including your friends, can view videos and vote on their favorite video at www.Spokesbody.com starting on May 1, 2011 at 12:00:00 AM EST and ending on August 1, 2011 at 11:59:59 PM EST ("Voting Period").  Votes will be cast by using the Like button on the video of their choice. The Voting Period is separated into ninety-two (92) Daily Voting Periods. A "Day" is defined as the 24 hours between 12:00:00 a.m. (midnight) EST and 11:59:59 p.m. EST. Sponsor's computer is the official time keeping device for the Contest.  By submitting your video, you consent to permit public voting in connection with your entry.

By submitting a vote (a Like), the visitor warrants and represents that they agree to the Official Rules. Voters may not Vote with multiple email accounts. Likes must be submitted and received to the Website during the Voting Period. Limit one (1) Vote (Like) per person.

At the close of the Voting Period, the five (5) submissions that receive the most Likes will be deemed the Finalists.  In the unlikely event that public/friend viewing and voting results in a tie, the tied submissions will be re-judged by the Contest Judges based on the Judging Criteria stated in the Official Rules. Any use of robotic, macro, automatic, programmed or similar voting methods will void all such votes. Any attempt by an Entrant and/or his/her family/friends to vote more than the number of times authorized herein using multiple names, email addresses, phone numbers and/or any other fraudulent mechanism, as determined by Sponsor in its sole discretion, shall give Sponsor the right to disqualify the Entrant in its sole discretion.  The Sponsor reserves the right to name fewer than five (5) Finalists and/or not to name any finalists at all, if, in its sole discretion, an insufficient number of qualified videos are received.  Finalists must execute and return all documentation required by Sponsor in order to remain eligible as a Finalist.  All Finalists’ submissions may be showcased on the Site as well as in various media in Sponsor’s sole discretion.

The Contest Judges will be selected by Sponsor and will have the following qualifications: marketing experience, video production experience and familiarity with BodyMedia.

Conditions and Restrictions Apply

Your participation in this Contest, including your submission of a video to www.Spokesbody.com, shall be deemed to be your complete acceptance of the terms and conditions set out in these Official Rules.  Additional conditions and restrictions apply:

  1. By submitting your video to the Sponsor, you agree to and thereby waive any and all moral rights that exist in your video and any derivative works made therefrom.
  2. Entrants’ submissions may be shared or showcased by Sponsor in various media during or after the Contest at Sponsor’s sole discretion.
  3. By submitting your video to the Sponsor you represent, warrant and undertake to Sponsor and its agents and representatives that your video (i) is your own original work and that you have the sole right to submit it to the Sponsor and the Site; (ii) does not violate in any way rights of third parties including copyright, trademark and any other intellectual property rights of any nature; and (iii) does not violate any applicable laws.  Entrants participating in the Contest are liable for any intellectual property infringements caused by their image or their submission.  All videos must be created solely by Entrant and must be your original creation.  You may not copy any other work, in whole or in part.
  4. Your contribution to the Site, including your video, should not include any content whatsoever which would reasonably be understood to be dangerous, defamatory, threatening, disparaging of Sponsor or any other person or entity, distasteful, inappropriate, racist, sexist, pornographic, lewd, obscene, vulgar, unlawful or otherwise objectionable.  The use of drugs or alcohol, or gambling cannot be shown in the video.  Any such entries may be disqualified in Sponsor’s sole and unfettered discretion.
  5. The opportunity to have your video reviewed by the judges for the Contest constitutes consideration for the activity carried out by Entrants in designing and creating the video and performing any activity relating to the Contest.  You agree that you will not now nor in the future be paid for your entry or your video, or for granting the Sponsor any of the rights set forth in these Official Rules.
  6. Sponsor and its agents and representatives reserve the right to change these terms and conditions at any time and at its sole discretion.
  7. Entrants agree to grant to Sponsor and to Sponsor’s agents and representatives an everlasting, royalty-free, assignable, exclusive license to use, utilize, replicate, alter, adapt, modify, publish, broadcast, translate, produce derivative works from, distribute, present, play, sublicense and exercise all copyright, trademark and other intellectual property rights with respect to your submission and your video worldwide and/or to include your submission and your video in other works in any media now known or later created forever, without limitation or compensation to you and without right of notice, review or approval of any such use of the submission. Each Entrant agrees and grants Sponsor and its agents and representatives permission to make available and display/perform and otherwise distribute Entrant's name, likeness and video submission in all media in perpetuity without compensation. Except where legally prohibited, submission of an entry into this Site constitutes permission for Sponsor and its agents and representatives to use the Entrant's name, photograph, likeness, voice, address (city and province/state) and testimonials, in printed, broadcast or new media, in perpetuity, in any manner they deem appropriate in connection with promoting the video submission itself, its products or this Site, without further compensation in connection with this Site or the prize awarded.
  8. Entrant is responsible to secure permission from all talent included in the video. Sponsor assumes no responsibility for royalties or fees associated with talent performances in the entered videos.
  9. Entrant represents that he/she owns all rights to his/her video, including, without limitation, the copyrights in the recording and the performance contained therein. Entrant further represents and warrants that the Entrant has obtained permission from each person whose name, image, likeness and/or voice ("Likeness") is included in the video, and that such person(s) have granted Entrant all necessary rights to use the person's Likeness as described in these rules, and that Entrant can make written copies of such permissions available to the Sponsor upon request.  If the Likeness of a minor is included, such grant of rights must include written permission from the minor's parent or legal guardian authorizing the use of the minor's likeness on behalf of the minor.  Sponsor's determination as to whether the submission potentially violates the rights of any third party is final and binding.
  10. Sponsor assumes no responsibility for lost or late entries or for incomplete computer transmissions or technical failures.
  11. Sponsor reserves the right not to accept entries that are considered inappropriate for the Site, are considered not to be original or entries that do not meet the requirements of these Official Rules.
  12. Winners are subject to verification by Sponsor, whose decisions are final and binding in all matters related to the Contest.  An Entrant is not a winner of any prize unless until Entrant’s eligibility has been verified and Entrant has been notified that verification is complete.  Winners will be required to execute and return a liability release and affidavit of eligibility (except where prohibited) within ten (10) days of notice of winning.
  13. If for any reason the Contest is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion to cancel, modify or terminate the Contest and the Site immediately without notice.
  14. Sponsor reserves the right to require the grand prize winner to submit to a confidential background check to confirm eligibility as a condition of awarding the prize to help ensure that the use of any such person in advertising or publicity for the Contest or for Sponsor will not bring the Sponsor or those associated with the Contest into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest as determined by Sponsor in its sole discretion.
  15. Winners will be solely responsible for any and all local, state, and federal taxes.  Sponsor will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service.  Winners will receive a Form 1099 from Sponsor if Sponsor reports any winnings to the Internal Revenue Service.
  16. Videos entered in the Contest will not be returned to Entrants.
  17. An Entrant may be prohibited or disqualified from participating in the Contest, or may be required to forfeit any prize awarded to them in the Contest if, in Sponsor’s sole discretion, (a) Sponsor believes that the Entrant has attempted to undermine the legitimate operation of the Contest by cheating, engaging in deception, not adhering to the content requirement or otherwise violating these Official Rules, (b) Sponsor believes that the Entrant does not satisfy the Eligibility Criteria, (c) the Entrant does not satisfy any other criteria or agreement in these Official Rules (including, without limitation, executing and returning any documentation required by Sponsor), or (d) the Entrant is convicted of, or pleads guilty or no contest to, any felony or any crime of moral turpitude, fraud or misrepresentation.
  18. Any video submitted that shows illegal, dangerous or unsafe activity, that violates the rights of third parties, or that is otherwise deemed by Sponsor in its sole discretion to be obscene or inappropriate will not be posted.
  19. Sponsor respects the rights of others. The Site may contain materials of third parties and Sponsor may also transmit and store such third party materials, including your video material.  As a result, materials of third parties, not owned or controlled by Sponsor, may be included in the Site or may be stored or transmitted over Sponsor’s digital online communication systems. To the best of Sponsor’s knowledge, these materials do not infringe the rights of others.  Upon receipt of proper notice of claimed infringement, Sponsor will respond expeditiously to resolve the claim between the notifying party and the alleged infringer who provided the materials in issue, including, where applicable, removing or disabling access to materials claimed to be infringing.  The proper party to whom you should address such notice is spokesbodies@bodymedia.com.
  20. These Official Rules shall be construed in accordance with, and any dispute arising out of or in connection with these Official Rules, their subject matter or the Contest, shall be governed by the laws of the Commonwealth of Pennsylvania.  To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes of claims resulting from or in connection with the Contest are hereby excluded, and any Entrant expressly waives any and all such rights.

 

Limitation on Liability

  1. In the event that you breach any of your representations, warranties or undertakings contained herein, Sponsor and its agents and representatives shall be entitled to and may seek indemnification from you for recovery of all legal fees, damages, claims and other expenses that may be incurred by Sponsor or its agents, representatives or affiliated entities as a result of your aforementioned breach.
  2. Each Entrant agrees to indemnify Sponsor, and its agents, affiliated entities and representatives, from any third party claims arising from or related to that Entrant's participation in the Site. By participating, Entrants agree that Sponsor, and its parent companies, affiliates, subsidiaries, service providers, and agencies, and their directors, officers, agents, employees, attorneys, and any other person or entity associated with such entities and/or promotion shall not be liable for any and all claims, damages, losses or injuries, including any third party claims, arising from or relating to, in whole or in part, the Contest or the Site, including entry and participation in the Site and acceptance, possession, use or misuse of the prize. All Entrants further agree that in the event of any third party claims, damages, losses or injuries, arising from or relating to the Contest or this Site, they will indemnify Sponsor from any and all such claims, including the attorneys' fees related thereto. Sponsor shall not be responsible for any technical malfunctions of the telephone network, computer online system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury.
  3. Entrants participating in the Contest or this Site are liable for any copyright infringements caused by their videos.

 

Winner’s List

For the names of the Finalists and the Grand Winner Prize, log onto www.Spokesbody.com on or about August 15, 2011, which information will be available for a period of up to 60 days.

By entering this Contest, all Entrants acknowledge that they have read and fully understand these Official Rules and will be bound in accordance thereof.

Like many web sites, we gather information about how visitors use our web site. In general, you can visit many of our web pages without telling us who you are or revealing any personal information about yourself. We use the information you provide us to perform the services for which such data was collected.   • On rare occasions, we may disclose specific information upon governmental request, in response to a court order, when required by law, to enforce our web site policies, or to protect our or others' rights, property, or safety. We may also share information with companies assisting in fraud protection or investigation. We do not provide information to these agencies or companies for marketing or commercial purposes.

 

Testimonials

We post customer testimonials on our web site which may contain personally identifiable information such as the customer's name. We do obtain the customer's consent prior to posting the testimonial to post their name along with their testimonial. If you want to remove your personal information that is being displayed on our website under public pages please send your request to privacy@bodymedia.com

 

How about third parties?

Information about our customers is an important part of our business, and we use it responsibly. We do not share, sell, rent or otherwise disclose personal information to third parties for promotional purposes. We employ or partner with other companies and individuals to perform functions on our behalf. Examples include processing credit card payments, shipping, web analytics, surveys and providing marketing assistance. These agents/service providers have access to personal information needed to perform their functions, but may not use it for other purposes. We may sell non-personally identifiable information about our users generally. We also release personal information when we believe release is appropriate to comply with law or protect the rights, property, or safety of BodyMedia, its users, or others.

 

Co-branding / Private Labeling

If you register and access the Activity Manager (activitymanager.bodymedia.com) through a co-branded or private label site (not a BodyMedia site), you are using a co-branded version of the Activity Manager. Your information and data may be shared with a third-party site through which you access the Activity Manager. This includes and is not limited to name, address, email, food logs, weight, body-fat-percentage, sensor-data, time recordings, and physiological data. We encourage you to read and understand the privacy policies of such third parties, as this policy does not cover their user of your information.

 

Sharing

The Activity Manager provides the ability to share a read only view of your data with third party services, social networks, specific users and the general public. To permit any sharing of your data, including personally identifiable information, you must actively enable those sharing services or invite specific users. If you choose to share your information it may become publicly available and could be read, collected, and/or used by third parties, including other users, unknown to BodyMedia. The system also provides the ability to share full access of your Activity Manager account to specific users (for example, ProConnect). It is your responsibility to have an agreement with those users regarding their use and modification of information within your Activity Manager account. BodyMedia has no control over such uses and/or modifications and will not be liable to you for any disclosure of your personal information by anyone for whom you granted Activity Manager account access. You may disable sharing services or revoke individual access at any time. However, please keep in mind that the service or user may have already seen or retained a copy of the information. BodyMedia is not a "covered entity" or "business associate" under the Health Insurance Portability and Accountability Act of 1996 and the regulations promulgated thereunder ("HIPAA"). As a result, unless subject to the foregoing limited exception, HIPAA does not apply to the transmission of information by BodyMedia to any third party.

 

AddToAny Widget

BodyMedia sites use the AddToAny widget to allow users to share, save and subscribe to our content. The AddToAny widget may collect personal information. The personal information entered on this widget is subject to the privacy policy of AddToAny. BodyMedia shares no responsibility in regards to the personal information entered through this widget.

 

Security

We use industry-standard methods to protect your personal information from unauthorized access. Among other techniques, we usually store such information on a computer behind our "firewall" in a secure location, and we often restrict the number of employees internally who can access such data.

All credit card information you supply online is transmitted via Secure Socket Layer (SSL) technology and then encrypted into our databases to be accessed only as stated above. Regardless of these efforts, no data transmission over the Internet or computer storage can be guaranteed to be 100% secure.

 

Choice, access, and correction of information

As discussed above, you can always choose not to provide certain information, even though it might be needed to take advantage of our features. Our site also provides you with the opportunity to choose not to receive communications from us and our partners. You have the following options for changing and modifying information previously provided or removing your information from our database.

  • E-Mail Communication: To unsubscribe from an email, please follow the instructions in the email you receive.
  • Activity Manager: To modify personally identifiable information such as your name, address and contact information, please login to the service and update your profile. When your subscription ends your contact information may be retained so that you can re-activate the service with your previously recorded data intact.

Please note, if you have unsubscribed from any BodyMedia communications, due to production schedules, you may receive communications already in production.

 

BodyMedia's Activity Manager

The Activity Manager shows subscribers information such as their calorie burn and steps through the day. If you subscribe to our system we may ask for additional information, for example your weight. We only ask for information that is germane to the service. 

The system uses an armband activity-monitor which records "armband data".

  • The armband-data is anonymized and does NOT include your name, address, phone number or any information that will allow you to be personally identified from the general population.
  • The armband-data does NOT include information on: where you are, who you are with, what you are saying, or what specifically you are doing.
  • The armband-data does NOT include your medical vital signs: core temperature, heart rate, blood pressure, or respiratory rate.
